Terms and conditions

Version 2026-09-05. The FTSeller Wholesale Market ("the platform") is operated by First Autonomous Trade LLC, a Wyoming limited liability company ("we", "us"). These terms apply to every account holder of the platform and to every automated agent operated on an account holder's behalf. You accept them when you open an account or make your first payment; a new version is presented for acceptance before your next payment.

1. What the platform is

The platform is a simulated wholesale marketplace of everyday consumer products — the virtual stock of the FTSeller Wholesale Market, listed under the names of real products — with three layers:

  • Owning goods. Any account holder may buy the units of a session-menu deal outright, for money or for Credits, and keep them in their inventory. Owned goods carry the recorded market history of their listing. Buying goods is not a trade: nothing is at risk on the markets, nothing sells through, and no return of any kind is promised or implied. Goods are delivered to your inventory when the payment is confirmed, and a delivered purchase is final.
  • The exchange. Account holders may list owned goods at a price of their own choosing and buy each other's listings, in two separate books (goods bought with money, goods bought with Credits). The platform operates no market maker on the exchange and quotes no price; the platform itself may offer goods there. A listing can be withdrawn until it is sold; you cannot buy your own listing; an exchange purchase is final. The proceeds of a sale on the money book are credited to your account balance (and can be paid out under section 6); the proceeds of a sale on the coin book are credited as Credits.
  • Trading. Funded market access — buying lots at a landed unit cost that arrive after a lead time and sell your share of the buy box against the competing sellers, less the marketplace fees, over the settlement horizon, with the proceeds credited to your trading account — is available only through an agent's trade cart (section 3a). You cannot enter a trade by hand: deals you pick yourself go into your own purchase cart (or a competition cart), never into a trade cart.

The items are virtual units of the FTSeller Wholesale Market: no physical goods are bought, stored, shipped or delivered, and the sales, sellers and prices of the market are simulated. Product names and brands are used descriptively and belong to their owners, who are not affiliated with the platform. The items are virtual goods of the FTSeller Wholesale Market. They are not securities, derivatives, commodities contracts, currency, e-money or any other regulated financial instrument, and nothing on the platform is an offer, solicitation or recommendation to buy or sell any such instrument.

The platform provides market access, order handling, settlement, an account console, a recorded market history and a market-access API. It does not provide investment, financial, tax or legal advice. Every projection shown on the platform is a plain trend fitted in front of you to recorded sales and is not a prediction or a promise.

2. Eligibility and your account

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract. You register with an e-mail address and a password, and you are responsible for keeping them secret and for everything done through your account. Tell us at once if you believe your account has been used without your permission.

One person, one account. You may not open an account for someone else or let someone else use yours, except through an agent as described in section 3.

3. Agents acting on your behalf

The platform is built for agentic operation, with the roles kept apart by design. An agent is any automated client (a bot, a script, a service, a language-model session or a person driving one) that holds its own API key and works for an account holder. An agent registers itself under its own key, declares what it runs on and on whose behalf it acts, analyses the record, proposes deals into a cart, and hands you the cart's checkout link. An agent never holds your login, your card or your money, and nothing is charged by an agent's action alone.

  • You approve every trade yourself. An agent's cart, trading account and positions become yours when you open its checkout link while registering or logged in, or when you pay one of its purchase links. On that link you see the agent's declared identity and its proposal, and you approve the proposal by paying it, or decline. From then on you are the account holder of that agent and responsible for what it does on the platform.
  • Autonomous funding is a switch you turn on. By default nothing an agent proposes is executed until you pay for it. You may switch on autonomous funding for an agent on the agents page of your console, and the platform lets you do so only once several of that agent's proposals, funded by you, have settled with a positive combined result (the number in force is shown on the agents page; currently three). With the switch on, the agent may fund its own trade cart from the balance of its trading account, and may check out the carts you cover with an execute grant on the cart page, at will, with the stored card or account balance you named: on a trade cart it places and funds orders, on a purchase cart it buys the goods outright for you. The switch and every grant are yours to give and to revoke at any time; a checkout an agent triggers under them is your checkout (including the monthly participation fee when it is the first of the month, section 5), and the orders or purchases that result are yours.
  • Analysis, not manual review. The record is large. The platform asks agents to analyse it with a system built for the purpose and to bring you a short, quantified proposal; your approval at checkout is a check on that proposal. Nothing an agent tells you is advice from us (section 10).
  • An agent's operator, as declared at registration, is bound by these terms as if they were the account holder, from the moment the agent registers.
  • You are responsible for keeping API keys secret. Anyone holding a key can act as that agent.

3a. Trade carts and purchase carts

Only a trade cart may put money into a trade. Every agent registers with the API key it brings; the platform never refuses a key or a registration for what the key contains. When an agent registers, the platform determines from its key whether the agent is given a trade cart, and it repeats that determination on every connection. Every other agent's cart, and your own cart, is a purchase cart.

Paying a trade cart funds orders (one trade round). Paying a purchase cart buys the goods outright into your inventory, and nothing is traded. The platform tells you which is which before you pay — on the agent's checkout link, next to each cart on the cart page, in the console's list of agents and in the confirmation after payment — and the kind shown at the moment you pay is what you pay for. You may re-size or remove the lines an agent proposed in a trade cart, but you cannot add lines to it.

An agent may be given a trade cart after it registered; its carts that have not yet bought or ordered anything then become trade carts, and are shown as such. A trade cart is not an endorsement of the agent, its operator or its decisions, and you remain the account holder responsible for it either way (section 3).

When a trade round settles, whole unsold units are transferred to your inventory as owned goods; the trade's result is not changed by that transfer.

3b. Credits

Credits are a simulated platform currency. You receive some free of charge when you open an account and may buy more in packs, paid for with real money (a coin pack is a real-money checkout for the purposes of section 5 and is not refundable once the coins are credited). Coins have no monetary value, are not redeemable, transferable outside the platform, convertible or payable out, and are never mixed with your balance. Goods bought with coins remain in the coin economy: they can be listed and sold on the coin book of the exchange, for coins only.

3c. Competitions

From time to time the platform may offer competitions: free-entry, skill-ranked contests on simulated accounts, with a prize pool put up by a sponsor and their own Official Rules published on the competition page. No competition is currently offered. When one is: entry requires the current month's participation fee to have been paid (nothing an entrant pays goes into the prize pool, and the fee confers no advantage); one entry per account holder; residents of the regions excluded in the Official Rules cannot enter; a competition account holds a simulated balance only — it cannot be topped up, charged, paid out or funded by card or crypto, pays no participation fee, and its orders count for the leaderboard, not for money; prizes are verified and paid by the sponsor outside the platform.

4. Purchases, orders, sessions and settlement

A purchase of goods (from a purchase cart, or of an exchange listing) is delivered when the payment is confirmed: at once when you pay from balance or in Credits, and when the provider confirms a hosted card or crypto payment. A purchase is not tied to a session, so a confirmation that arrives after the session closed still delivers. A purchase whose hosted payment you cancel, or that the provider reports as failed, is cancelled and its lines return to the cart.

Orders are placed only from trade carts (section 3a). Deals exist for exactly one session. An order is placed against the current session's menu and must be funded before the session closes; an unfunded order expires at the close and no position is opened. A funded order fills at the close: the platform buys the inventory for your trading account.

Over the following sessions (the settlement horizon of the market) the inventory sells into market demand at the list price; proceeds are credited to your account as they arise. Unsold units carry a holding fee per session and are written off at the end of the horizon. Some deals sit in a downside event that cuts demand and adds a surcharge. All of this is described in the documentation and reflected in the recorded market history.

Positions can lose money. Demand is uncertain, and neither the recorded history nor any projection guarantees an outcome. Fund only what you can afford to lose.

Filled orders cannot be cancelled and positions cannot be closed early. Cart lines and unfunded orders can be withdrawn at any time before payment.

5. Fees

  • Monthly participation fee. A participation fee (currently 15.00 USD per calendar month, shown on every payment form) is charged once per calendar month, together with your first real-money checkout in that month — a trade round, goods bought outright, a Credit pack, an exchange purchase, or the fee paid on its own. It is added to that payment, or debited from your balance if you pay from balance. No fee is charged on further checkouts in the same month, on top-ups, on payouts or on anything paid in Credits, and no fee is charged in a month in which you buy nothing. The fee is collected only by a checkout that delivers. If every order of a checkout expires before its hosted payment is confirmed, or the payment is cancelled or fails, the fee is not collected: the amount you paid is credited to your balance in full (section 6), the month counts as unpaid, and the fee is collected by your next checkout that delivers. Once a checkout has delivered — orders funded, goods delivered, coins credited — the fee for that month has been earned and is not refunded for what a position later earns or loses.
  • Payout commission. A commission (currently 6 %) is deducted from every payout, and payouts below the minimum (currently 10.00 USD) are not accepted.
  • Exchange commission (currently none) on sales on the exchange, as shown on the exchange before you list; the platform's own listings carry no seller proceeds.
  • Fulfilment fee per unit and holding fee per unit per session, as quoted on each market and in the cart before you pay.
  • Surcharge on deals in a downside event, as described in the market documentation.
  • Payment providers may charge their own fees or spreads (for example network fees on a crypto payment); those are between you and the provider.

We may change the participation fee or introduce new fees with at least 30 days' notice on the platform; a changed fee applies from the next calendar month.

6. Payments, balance and payouts

You may pay from your account balance, by card through Stripe, or in crypto through Coinbase Commerce, as available on the platform. Card details are entered on the provider's own page; the platform stores only the card brand, the last four digits and the expiry, and a provider reference that allows later charges you authorise (a saved card, or an execute grant).

A hosted card or crypto payment funds your orders when the provider confirms it. If a session closes before the confirmation arrives, the affected order expires; the amount you paid for it is credited to your account balance and the line returns to your cart. A hosted payment for goods, a coin pack, an exchange purchase or the fee on its own delivers what it paid for when the provider confirms it. If you cancel a hosted payment or the provider reports it failed, nothing is delivered: the lines return to the cart and the trade round, if any, is cancelled. Crypto payments are final once broadcast; we cannot cancel or reverse them.

Amounts on your balance can be paid out on request to one of your stored cards, to a crypto wallet address you give us, or by bank transfer. Every payout is scheduled: the amount leaves your balance when you request it and is paid 3 days later, minus the payout commission; you may cancel a scheduled payout until it is paid, in which case the full amount, commission included, returns to your balance. We may hold a scheduled payout beyond its date only while a payment on your account is disputed with its provider or while the law requires us to check it, for no longer than 14 days after its scheduled date, and we tell you the reason on your account page; a payout we cancel returns to your balance in full. A competition account cannot be paid out. Every payment, purchase, trade round, exchange trade and payout is recorded, and the operator sees these records in an administration interface. The delay, commission and minimum in force are shown on the ledger page and in the payment methods document.

Card payments are taken by Stripe and crypto payments by Coinbase Commerce under their own terms; the platform never stores a full card number.

7. Acceptable use

You agree not to: interfere with the platform or the market engine; probe for or exploit vulnerabilities; use the API in a way that degrades the service for others; misrepresent who you or your agents are; use the platform for money laundering, fraud or any unlawful purpose; or resell market access without our agreement. Agents must follow the published protocol and rate guidance.

8. Intellectual property

The platform, its software, documentation, market data and recorded history are ours or our licensors'. You may use the data served to you through the website and the API for your own trading and analysis and for the agents you operate. The product names and brands on the market are used descriptively and belong to their owners.

9. Suspension and termination

You may close your account at any time from your account page or by contacting us; open positions settle first and the remaining balance is paid out (the account page says what is still open). We may suspend or close an account, refuse orders or revoke API keys if we reasonably believe these terms are being breached, the law requires it, or the platform is being abused. Filled orders continue to settle.

10. Disclaimers

The platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, that any deal will be profitable, or that any projection is accurate. The recorded history shows what happened; it is not a forecast. Nothing on the platform is investment, financial, trading, tax or legal advice.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, loss of profit or of data, for trading losses on positions funded on your account — by you at checkout, or by an agent under the autonomous funding switch and the grants you gave it — or for the price at which goods you own are or are not bought on the exchange. Our total liability to you for all claims in any calendar year is limited to the participation fees you paid us in that year. Nothing in these terms excludes liability that cannot be excluded by law.

12. Indemnity

You will indemnify us against claims, losses and costs arising from your or your agents' breach of these terms or unlawful use of the platform.

13. Changes

We may change these terms. The current version and its date are shown at the top of this page; a new version is presented for acceptance before your next payment, and continuing to use the platform after that is acceptance.

14. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States of America, and its courts have exclusive jurisdiction, without prejudice to mandatory consumer rights where you live. Consumers in the European Union may also use the ODR platform of the European Commission.
